1. Introduction

Welcome to Assist Mind AI ("Assist Mind AI," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our AI Agent Platform (the "Service"). By creating an account, subscribing, or otherwise using our Service, you agree to these Terms. If you do not agree, you may not use the Service.

2. Key Definitions

  • "User": An individual or entity who accesses or uses the Service.
  • "Account": A registered account created to access the Service.
  • "AI Agent(s)": Automated voice and/or chat agents built, configured, or deployed on the platform.
  • "Content": Any information, prompts, recordings, data, or materials you provide, as well as AI-generated outputs.
  • "Subscription": The paid plan that grants you access to the Service.

3. Acceptance of Terms

  • You must be at least 18 years old, or the legal age of majority in your jurisdiction, to use the Service.
  • By clicking "I Agree," signing up, or using our Service, you enter into a binding agreement with Assist Mind AI.
  • We may update these Terms periodically. When changes are material, we will notify you via email or within the platform. Continued use after changes means you accept the revised Terms.

4. Accounts & Security

  • You agree to provide accurate and complete information when creating your Account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activities that occur under your Account.
  • Notify us immediately at support@assistmind.ai if you suspect unauthorized use.

5. License to Use the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

You may not:

  • Resell, sublicense, or distribute the Service.
  • Reverse-engineer, copy, or attempt to access source code.
  • Use the Service to build competing products.
  • Misuse AI Agents for unlawful, abusive, or harmful purposes.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Generate or share unlawful, harassing, defamatory, or discriminatory content.
  • Infringe on intellectual property rights of others.
  • Transmit spam, scams, or misleading information.
  • Interfere with or disrupt the Service's security or functionality.

We may suspend or terminate your Account for violations.

7. Subscriptions, Payments & Billing

  • Access to the Service requires a valid Subscription.
  • Fees are billed in advance according to your selected plan.
  • Pricing may change with 30 days' notice.
  • Except where required by law, all payments are non-refundable.

8. User Content & AI Outputs

  • Your Inputs: You retain ownership of the data, prompts, and materials you provide.
  • AI Outputs: Subject to these Terms, you are granted a license to use AI-generated outputs for personal or business purposes.
  • Unless explicitly stated otherwise, Assist Mind AI does not use your data or outputs for training models.

9. Intellectual Property Rights

  • The Service, software, and all associated technology are owned by Assist Mind AI.
  • You may not remove branding, trademarks, or copyright notices.
  • Intellectual property complaints or takedown requests can be sent to support@assistmind.ai.

10. Privacy & Data Handling

Your use of the Service is also governed by our Privacy Policy.

  • We collect, process, and store personal data in accordance with applicable laws (including GDPR/CCPA where applicable).
  • We implement commercially reasonable safeguards to protect your data, but no system is completely secure.

11. Disclaimers

The Service is provided "as is" and "as available."

We make no guarantees that:

  • The Service will be error-free, uninterrupted, or fully secure.
  • AI outputs will always be accurate, reliable, or suitable for your needs.
  • The Service will meet your specific business requirements.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Assist Mind AI will not be liable for indirect, incidental, special, or consequential damages.
  • Our total liability in any 12-month period will not exceed the amount you paid to us during that period.

13. Indemnification

You agree to indemnify and hold Assist Mind AI harmless from claims, damages, or expenses resulting from:

  • Your misuse of the Service.
  • Violation of these Terms.
  • Infringement of third-party rights.

14. Termination & Suspension

  • We may suspend or terminate your Account if you violate these Terms or misuse the Service.
  • You may cancel your Subscription at any time, but fees already paid are non-refundable.
  • Upon termination, you lose access to the Service, and your data may be deleted according to our retention policy.

15. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of Ontario, Canada.
  • Any disputes will be resolved through arbitration or in the courts of Ontario, unless otherwise required by applicable law.

16. Miscellaneous

  • These Terms, along with the Privacy Policy, form the entire agreement between you and Assist Mind AI.
  • If any provision is deemed invalid, the remaining provisions remain enforceable.
  • We may assign these Terms without restriction; you may not assign them without our written consent.
